We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with or without notice.
User Responsibilities
As a user of our services, you agree to:
- Provide accurate and complete information when creating an account
- Maintain the security of your account credentials
- Use our services in compliance with all applicable laws and regulations
- Not use our services for any illegal or unauthorized purpose
- Not interfere with or disrupt the integrity or performance of our services
- Not attempt to gain unauthorized access to our systems or networks
- Respect intellectual property rights of ClientSwoop and third parties
Payment Terms
Fees and Billing
Service fees are based on the specific package or custom solution you select. All fees are non-refundable unless otherwise specified in writing.
Payment Processing
Payments are processed through secure third-party payment processors. You authorize us to charge your designated payment method for all fees incurred.
Late Payments
Late payments may result in suspension of services. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law.
Intellectual Property
Our Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and AI algorithms, are owned by ClientSwoop and protected by copyright, trademark, and other intellectual property laws.
Your Content
You retain ownership of any content you provide to us. By using our services, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and display your content solely for the purpose of providing our services.
White-Label Solutions
For white-label clients, specific intellectual property rights and usage terms are outlined in separate licensing agreements.
Data Protection and Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction.
Service Level Agreement
Uptime Commitment
We strive to maintain 99.9% uptime for our core services. Scheduled maintenance will be communicated in advance when possible.
Support Response Times
- Critical issues: Within 4 hours during business hours
- High priority issues: Within 24 hours
- General inquiries: Within 48 hours
Implementation Timeline
Project timelines are established during the onboarding process and may vary based on complexity and client requirements.
Limitation of Liability
To the maximum extent permitted by law, ClientSwoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for our services in the twelve months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless ClientSwoop and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you provide through our services
Termination
Termination by You
You may terminate your account at any time by providing written notice. Termination does not relieve you of any payment obligations for services already provided.
Termination by Us
We may terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms or engage in conduct that we determine to be harmful to our business or other users.
Effect of Termination
Upon termination, your right to use our services will cease immediately. We will provide reasonable assistance in data export, subject to technical limitations and applicable fees.
Dispute Resolution
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where ClientSwoop is incorporated, without regard to conflict of law principles.
Arbitration
Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Class Action Waiver
You agree that any arbitration or legal proceeding shall be limited to the dispute between you and ClientSwoop individually. You waive any right to participate in class action lawsuits.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date.
Your continued use of our services after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must discontinue use of our services.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
